Vodafone/Japan Telecom - acquisition

The deal was the second largest inbound acquisition ever in Japan. Philip Partnow was a key advisor to Vodafone on transaction structure, path to control, and the TOB in the course of its multi-stage acquisition of Japan Telecom.

Roche/Chugai - Shareholder Approval

Advised Chugai on how to obtain shareholder approval for its strategic tie-up with Roche. The deal required revisions of terms and an intensive shareholder outreach campaign to win approval. Roche took a majority stake in Chugai, which maintained its separate listing while becoming a part of the Roche Group.
